Case Studies

REIPPPP Programme (South Africa)

Trinity advised many of the lenders and several of the equity investors in relation to solar PV, CSP, hydro and wind projects procured through the South African Government Department of Energy’s Renewable Energy IPP Procurement Programme (REIPPP), across several rounds.

Our involvement has included advising on the form of the PPA, Implementation Agreement and the full suite of subcontracts (including EPC, O&M, Self-Build Agreements and Consortium Agreement) in conjunction with a number of South African law firms.

Notable mandates have included:

• Sishen Solar PV: Advising the lenders to the financing of the 74MW Sishen solar PV facility, developed by Acciona Energy and Aveng, in round 2 of the South African renewable procurement programme.

• Vredendal Solar PV: Acting for Rand Merchant Bank in relation to the financing of a 8.8MW solar PV project near Vredendal in the Western Cape, South Africa, in round 2 of the South African renewable procurement programme

• Aurora Solar PV: Acting for Rand Merchant Bank in relation to the financing of a 9MW solar PV project near Aurora in the Western Cape, South Africa, in round 2 of the South African renewable procurement programme.

• Linde Solar PV: Representing the lenders in the financing of the 36.8MW solar PV facility, developed by Scatec Solar at Linde in the Northern Cape, in round 3 of the South African renewable procurement programme.

• Investment in Renewable Power Project: Advising a financial institution in respect of the funding of an equity contribution relating to a concentrated solar project forming part of round 3 of the South African renewable procurement programme.

• Dreunberg Solar PV: Representing the lenders in the financing of the 69.6MW solar PV facility, developed by Scatec Solar at Dreunberg in the Eastern Cape, in round 3 of the South African renewable procurement programme.

• Roggeveld Wind IPP: Acting for the lenders to the Roggeveld wind transaction in round 4 of the South African renewable programme.

• Sirius Solar PV: Advising the lenders in relation to the financing of the Sirius solar PV project in round 4 of the South African renewable programme.
